Terms of Service for CyrForge

1. Agreement to Terms

These Terms of Service ("Terms") form a binding agreement between you ("you" or "User") and Elemental Genius LLC ("we," "our," or "us") governing your access to and use of CyrForge, a web-based customer relationship management platform available at cyrforge.com and through any linked application (the "Service").

By creating an account or otherwise using the Service, you agree to these Terms. If you do not agree, do not use the Service.

2. Eligibility

You must be at least 18 years old, or the age of majority in your jurisdiction, and able to form a binding contract to use the Service. By using CyrForge, you represent that you meet these requirements and, if using it on behalf of a business, that you have authority to bind that business to these Terms.

3. Accounts

You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You agree to provide accurate registration information and to notify us promptly of any unauthorized use of your account. We may suspend or terminate accounts that provide false information or violate these Terms.

4. The Service

CyrForge is provided entirely through a web browser — there is no software to download or install. We may update, modify, or discontinue features of the Service at any time, and will make reasonable efforts to notify you of material changes.

5. Free Trial, Subscription, and Payments

Free Trial. New accounts receive a 14-day free trial of CyrForge. No payment method is charged during the trial period unless otherwise stated at signup.

One Trial Per User. Each individual, email address, and payment method is eligible for one free trial. We reserve the right to identify and block duplicate or repeat trial signups, including those using a previously used email address or payment card, and to immediately charge the Subscription Fee or suspend access for accounts found to be circumventing this limit. Businesses seeking multiple accounts, team seats, or custom pricing should contact [email protected] to discuss a corporate account and available discounts.

Subscription Plan. Following the free trial, continued use of CyrForge requires a paid subscription billed at $29.99 per month ("Subscription Fee"). Current pricing is also available at cyrforge.com.

Payment Processing. All payments are processed by our third-party payment processor, Stripe, Inc. By starting a free trial or subscribing, you agree to Stripe's terms of service in addition to these Terms. We do not directly collect or store your full payment card details.

Billing Cycle and Auto-Renewal. At the end of the 14-day free trial, your subscription automatically converts to a paid monthly subscription and your payment method on file will be charged $29.99, unless you cancel before the trial ends. Thereafter, the subscription renews automatically each month at the then-current Subscription Fee unless canceled prior to the renewal date. You authorize us, through Stripe, to charge your payment method on file for each renewal.

Price Changes. We may change the Subscription Fee with notice provided before the change takes effect for existing subscribers. Continued use after a price change takes effect constitutes acceptance of the new pricing.

Cancellations. You may cancel at any time during the free trial or your paid subscription through your account settings. Canceling during the free trial prevents any charge. Canceling a paid subscription takes effect at the end of the current billing period; we do not provide prorated refunds for partial billing periods except where required by law.

Failed Payments. If a monthly payment fails, we may retry the charge and suspend access to the Service until payment is resolved.

Refunds. Except as required by applicable law, all fees are non-refundable.

6. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable law or regulation
• Upload or transmit malicious code, viruses, or content that infringes the intellectual property or privacy rights of others
• Attempt to gain unauthorized access to the Service, other accounts, or related systems or networks
• Reverse engineer, decompile, or attempt to extract the source code of the Service, except where permitted by law
• Use automated means (bots, scrapers) to access the Service without our prior written consent
• Resell or sublicense access to the Service without our written permission

We reserve the right to suspend or terminate accounts that violate this section.

7. Your Content

You retain ownership of the customer data, notes, files, and other content you upload to CyrForge ("Your Content"). By using the Service, you grant us a limited license to host, store, and process Your Content solely for the purpose of providing and improving the Service. You are responsible for ensuring you have the necessary rights and permissions for any data you upload, including third-party personal data (e.g., your customers' contact information).

8. Intellectual Property

The Service, including its software, design, branding, and underlying technology, is owned by Elemental Genius LLC and protected by intellectual property laws. These Terms do not grant you any rights to our trademarks, logos, or brand assets.

9. Third-Party Services

The Service integrates with third-party providers, including Stripe for payment processing. Your use of any third-party service accessed through CyrForge is subject to that provider's own terms and policies. We are not responsible for the acts or omissions of third-party providers.

10. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ELEMENTAL GENIUS LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE MONTHS PRECEDING THE CLAIM.

12. Indemnification

You agree to indemnify and hold harmless Elemental Genius LLC, its officers, and employees from any claims, damages, or expenses arising from your use of the Service, Your Content, or your violation of these Terms.

13. Termination

We may suspend or terminate your access to the Service at any time for violation of these Terms, non-payment, or as required by law. You may terminate your account at any time through account settings. Upon termination, your right to use the Service ends immediately; data retention following termination is governed by our Privacy Policy.

14. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of New York, without regard to its conflict of law provisions. Any disputes arising from these Terms or the Service shall be resolved in the state or federal courts located in New York, and you consent to the jurisdiction of those courts.

15. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on our website and updating the "Last Updated" date, and for significant changes, by email. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
